Your access to or use of any UniqueCoop or MERLOTEK-owned product or service, UniqueCoop cooperative management software, dashboards, mobile and web applications, APIs and related websites constitutes your agreement to be bound by these Terms and Conditions.
About UniqueCoop
UniqueCoop is operated by MERLOTEK, our parent company. While our solutions may be delivered under different product names or modules, all offerings form part of a single, connected ecosystem built to strengthen cooperative societies.
UniqueCoop empowers cooperatives with the education and technology they need to operate efficiently, transparently and competitively. Our focus is to position each society as a trusted financial partner, one that members can confidently rely on to achieve their dreams through structured savings, contributions and access to responsible loans.
Eligibility
To access or use UniqueCoop services, you must:
- be at least 18 years of age; and
- where you are acting on behalf of a cooperative society, organization or business, have the legal authority to act for and bind that entity, including authority granted under its constitution, by-laws, resolutions or applicable law.
If you are an officer, trustee, administrator or authorized representative of a cooperative society, you confirm that you are duly appointed and empowered to manage the cooperative's operations on the platform, including member data, financial records, contributions and loan activities.
You acknowledge and agree that you are responsible for ensuring that your access to and use of the Service complies with all applicable laws, regulations, cooperative by-laws and internal governance rules.
Acceptance of Terms
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a Cooperative or organization, you confirm you have authority to bind that entity.
Scope of Service
4.1 The Service provides tools for cooperative, social clubs and association administration, including (as enabled):
- member registration and profile management;
- contribution tracking and receipts;
- loan application workflows;
- approvals, disbursement tracking, repayment scheduling and reporting;
- audit logs, reporting and transparency tools.
4.2 No Banking / Financial Institution Role.
UniqueCoop is a technology provider and does not act as a bank or deposit-taking institution. Where payments occur, they may be processed by third-party payment processors and financial institutions.
Subscriptions & Fees
Some features may require:
- subscriptions
- usage fees
All fees will be clearly communicated before you are charged. UniqueCoop may update pricing with notice.
Acceptable Use
You agree not to:
- misuse the platform
- attempt to bypass security
- scrape data
- impersonate others
- use UniqueCoop for fraudulent activities
We may suspend or terminate accounts that violate these terms.
Cooperative Responsibilities (Admins / Officers)
7.1
You are responsible for ensuring your Cooperative's operations (including contributions, loans, interest and collections) comply with Applicable Law, Cooperative by-laws and any licensing or registration requirements. The Nigerian cooperative legal framework is governed under the Nigerian Co-operative Societies Act.
7.2
You must obtain all necessary member consents and notices required for member data processing and communications, consistent with Nigeria's data protection regime.
7.3
You must only grant access to authorized persons and promptly remove access for departed staff or officers.
Loan Workflows, Digital Lending and Conduct
8.1
If your Cooperative uses the Service for loans, you must ensure fair, transparent lending and ethical collection practices. Nigeria's consumer protection ecosystem includes the FCCPA.
8.2
If your operations fall within "digital lending" regulatory attention, you are responsible for complying with the FCCPC's Limited Interim Regulatory / Registration Framework and Guidelines for Digital Lending (2022) where applicable.
8.3
You must not use the Service to threaten, shame or unlawfully contact members or their contacts.
Data Protection and Privacy
9.1
We process personal data in line with our Privacy Policy and Nigeria's data protection framework under the Nigeria Data Protection Act 2023 and NDPC oversight.
9.2
You agree to comply with your own obligations as a controller or admin determining purposes and means of processing member data (where applicable).
Suspension & Termination
UniqueCoop may:
- suspend or terminate access
- remove content
- limit features
If we believe there is:
- fraud
- abuse
- legal risk
- violation of these Terms
Disclaimer
UniqueCoop is provided "as is". We do not guarantee:
- uninterrupted service
- error-free operation
- specific outcomes or results
Governing Law
These Terms are governed by the laws of Nigeria.
Updates to These Terms
We may update these Terms from time to time. Continued use means acceptance of updated Terms.
